Terms of Service and Reservation Terms

Last updated May 8, 2026. These Terms describe the rules for using VitalScan, reserving early access, placing deposits, applying as a host location, receiving communications, and participating in VitalScan services.

1. Acceptance of Terms

These Terms of Service and Reservation Terms govern your use of the VitalScan website, early-access reservation flow, partner-location application, communications, deposits, and services.

By using the website, submitting information, applying as a host location, joining an early-access list, or placing a deposit, you agree to these Terms. If you do not agree, do not use the website or submit information to VitalScan.

Additional consent forms, lab authorizations, intake documents, provider notices, host-location agreements, or service-specific terms may apply before a live testing visit.

2. VitalScan Services

VitalScan is building a direct-pay mobile health testing model that brings health, wellness, body composition, laboratory, and performance testing to hosted testing days.

The VitalScan service menu may include DEXA body composition scanning, blood sample collection processed through third-party lab partners, VO2/RMR performance testing, results review, and repeat tracking programs.

Service availability depends on market routing, host-location scheduling, equipment availability, qualified operator coverage, lab workflow, clinical or provider oversight where required, and applicable federal, state, and local requirements.

3. Eligibility and Accurate Information

You agree to provide accurate, current, and complete information when using VitalScan. This includes contact information, ZIP code, booking details, health and safety intake information, payment information, and communication preferences.

VitalScan may be unable to provide a service if information is incomplete, inaccurate, misleading, or withheld. You are responsible for updating VitalScan if relevant information changes before your appointment.

Some services may have age, health, pregnancy, mobility, fasting, medication, device, injury, or safety limitations. VitalScan may require additional screening or consent before performing a service.

4. Early-Access Reservations

An early-access reservation records your requested service, preferred market, preferred timing, contact details, and deposit status. It helps VitalScan understand demand and plan host days.

An early-access reservation is not a guarantee of a specific appointment date, time, route, operator, host location, equipment availability, lab menu, or service availability.

VitalScan confirms the final appointment when route timing, host location, staffing, equipment, lab workflow, and required operating conditions are in place.

5. Deposits, Credits, Cancellations, and No-Shows

VitalScan currently uses a credited deposit to reduce low-intent bookings and reserve serious early demand. The deposit is credited toward the selected visit or program when the visit occurs.

If VitalScan cannot provide a workable route, host location, or appointment option for your selected service, VitalScan may offer rescheduling, service substitution, account credit, or refund options.

Once a live appointment is confirmed, deposits are refundable when the appointment is canceled or rescheduled at least 24 hours in advance. Late cancellations and no-shows may forfeit the deposit.

Refund timing may depend on Stripe, banks, card networks, and other payment processors.

6. Pricing, Promotions, and Service Changes

Prices, bundles, deposit amounts, included services, savings estimates, host-day availability, and promotional offers may change over time.

VitalScan may correct pricing errors, update service descriptions, modify bundles, discontinue offers, or change the reservation flow. If a change materially affects a paid reservation, VitalScan will provide reasonable next steps.

7. Direct-Pay Model

VitalScan is a direct-pay service. VitalScan does not guarantee insurance coverage, insurance reimbursement, HSA/FSA eligibility, tax treatment, employer reimbursement, or third-party payment coverage.

Any itemized receipt, superbill, or payment documentation is provided for convenience and does not guarantee reimbursement or tax treatment.

8. Payment Processing

VitalScan uses Stripe and other payment processors to process deposits, refunds, and payments. Payment processor terms and privacy practices apply to payment processing.

VitalScan does not store full payment card numbers on this website. VitalScan may receive payment status, transaction identifiers, deposit amount, refund status, billing contact details, and related booking metadata.

You represent that you are authorized to use the payment method you provide.

9. No Emergency Care

VitalScan is not an emergency medical provider. Do not use VitalScan for emergencies, urgent symptoms, crisis support, diagnosis of acute illness, or immediate medical care.

Call 911 or seek immediate medical attention if you believe you may have a medical emergency.

10. Health Testing Limitations

VitalScan testing provides health, wellness, body composition, laboratory, and performance information. It does not replace medical diagnosis, treatment, advice, or care from a licensed healthcare professional.

Results should be reviewed with a qualified healthcare professional before making medical decisions, changing medications, changing treatment, beginning a high-risk exercise program, or delaying care.

VitalScan does not guarantee health outcomes, weight-loss outcomes, performance outcomes, diagnosis, treatment, or prevention of disease.

11. Customer Health and Safety Responsibilities

You are responsible for providing accurate health and safety information before testing. This may include pregnancy status, recent imaging exposure, implanted devices, injuries, mobility limitations, medications, symptoms, fasting status, and exercise restrictions.

You agree to follow pre-test instructions, arrival instructions, staff directions, safety screening, and post-test guidance.

VitalScan may decline, pause, modify, or stop a service if staff determine that performing the service is unsafe, inappropriate, outside the service scope, operationally impractical, or inconsistent with applicable requirements.

12. DEXA Body Composition Testing

DEXA body composition testing may provide information about body fat, lean mass, visceral fat, bone-density-related metrics, and regional body composition.

DEXA uses low-dose X-ray technology and may not be appropriate for all customers. Screening, operator requirements, equipment registration, radiation-safety requirements, and state-specific rules may apply.

DEXA results can vary based on hydration, recent food intake, recent exercise, body positioning, device calibration, software, and other factors.

13. Bloodwork and Lab Partners

VitalScan does not operate as a clinical laboratory. If bloodwork is included, samples are collected by qualified staff and processed through third-party CLIA/NYS-permitted lab partners or other authorized lab workflows.

Lab testing may require a lab order, standing order, provider relationship, specimen-handling workflow, courier workflow, or additional consent. Lab menus, availability, turnaround times, report formats, and reference ranges may vary.

Lab partners, ordering providers, physician networks, or clinical reviewers may maintain their own terms, consent forms, privacy notices, authorization language, and recordkeeping obligations.

14. VO2/RMR Performance Testing

VitalScan VO2/RMR testing is performance-focused testing for training, metabolism, and wellness insight. It is not clinical cardiopulmonary exercise testing, also known as clinical CPET.

VO2/RMR testing is not intended to diagnose, evaluate, treat, or monitor cardiopulmonary disease or any medical condition.

Testing may require pre-test screening, equipment fit, mask use, exercise protocol instructions, stop criteria, and operator judgment. VitalScan may decline or stop testing if it appears unsafe or outside the service scope.

15. Genetic and Specialty Testing

If VitalScan offers genetic, pharmacogenomic, hormone, microbiome, or other specialty testing in the future, additional consent, provider review, lab authorization, and service-specific terms may apply.

Specialty testing may have separate limitations, privacy requirements, retention obligations, reporting rules, and clinical review requirements.

16. Results, Reports, and Follow-Up

Result timing varies by service, market, lab workflow, operator workflow, and vendor availability. Any delivery-time estimate is an estimate, not a guarantee.

Results may be delivered through email, portal, secure link, phone, consult, or another approved workflow. VitalScan may require identity verification before releasing certain information.

Follow-up, consults, interpretation, or educational discussion are informational unless expressly provided by a licensed healthcare professional acting within an applicable professional relationship.

17. Communications Consent

VitalScan may send transactional emails related to reservations, deposits, appointments, intake, preparation, cancellations, refunds, results, safety, customer support, and legal notices.

SMS appointment alerts and marketing SMS are optional where applicable and may require separate consent. Marketing emails and SMS may be opted out of using the unsubscribe or STOP instructions provided.

Opting out of marketing messages does not prevent VitalScan from sending transactional or operational messages related to your reservation, appointment, payment, results, safety, or legal notices.

18. Host-Location Role

Host locations provide space, local promotion, arrival instructions, parking information, and event-day support. Host locations do not operate VitalScan testing, process payments, make medical decisions, or deliver results.

Host locations do not receive individual customer health results unless the customer explicitly authorizes sharing.

Host locations may earn approved host fees or revenue share from completed self-pay visits under written partner terms. VitalScan does not pay for medical referrals or clinical recommendations.

19. Partner-Location Applications

Submitting a partner-location application does not create a partnership, agency relationship, franchise, employment relationship, medical referral relationship, or exclusive territory.

VitalScan reviews host applications based on member fit, location logistics, demand, space, schedule, operating requirements, and commercial terms. VitalScan may accept, decline, pause, or revisit applications at its discretion.

20. Website Use and Prohibited Conduct

You agree not to misuse the website, interfere with the service, submit false information, attempt unauthorized access, scrape or copy the site in violation of these Terms, upload malicious code, use the site for unlawful activity, or impersonate another person or organization.

VitalScan may restrict access, decline service, cancel a reservation, or take other appropriate action if it believes these Terms have been violated.

21. Intellectual Property

The VitalScan name, website, content, designs, copy, graphics, images, workflows, pricing presentation, and related materials are owned by VitalScan or its licensors.

You may not copy, reproduce, distribute, modify, sell, frame, scrape, or reuse VitalScan materials without permission, except for normal personal use of the website.

22. Privacy

VitalScan handles personal information and health-related information according to the VitalScan Privacy Policy and Health Data Notice.

By using the website or services, you acknowledge that VitalScan collects, uses, shares, and stores information as described in that policy and any applicable consent or authorization documents.

23. Third-Party Services

VitalScan may use third-party services such as Stripe, Vercel, Supabase, Resend, Twilio, Google Maps, lab partners, scheduling tools, analytics tools, and other vendors.

Third-party services may have their own terms, privacy notices, and operational rules. VitalScan is not responsible for third-party websites or services that it does not control.

24. Disclaimers

The website, reservation flow, content, estimates, and services are provided as available and as permitted by law.

VitalScan does not warrant that the website will be uninterrupted, error-free, secure, available in all markets, or that all services will be available at all times.

VitalScan does not warrant that testing results will be complete, error-free, clinically sufficient for any particular purpose, or accepted by any third party.

25. Limitation of Liability

To the fullest extent permitted by law, VitalScan and its owners, officers, employees, contractors, vendors, affiliates, and partners are not liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from use of the website, reservations, communications, deposits, host locations, or services.

To the fullest extent permitted by law, VitalScan's total liability for claims relating to a paid reservation or service is limited to the amount paid to VitalScan for the specific reservation or service giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

26. Indemnification

You agree to indemnify and hold harmless VitalScan and its owners, officers, employees, contractors, vendors, affiliates, and partners from claims, damages, losses, liabilities, costs, and expenses arising from your misuse of the website, violation of these Terms, inaccurate information, unlawful conduct, or infringement of another person's rights.

27. Dispute Resolution

Before filing a claim, you agree to contact VitalScan and attempt to resolve the dispute informally. VitalScan will attempt to resolve customer issues in good faith.

These Terms do not limit rights that cannot be waived under applicable law.

28. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles.

Unless otherwise required by law, disputes relating to these Terms, the website, reservations, deposits, or services will be brought in the state or federal courts located in New York.

29. Changes to Terms

VitalScan may update these Terms as the service, vendor stack, testing workflow, legal requirements, or business model changes. The updated date will show when the Terms were last revised.

Continued use of the website or services after updated Terms are posted means you accept the updated Terms.
